What is the difference between an ADR and an ADS?
An ADR (American Depositary Receipt) is a negotiable certificate issued by a depositary bank representing a specific number of shares of a non-U.S. company traded on a U.S. stock exchange. An ADS is the share issued under the ADR agreement which is actually traded.
What are the benefits of ADRs to US investors?
U.S. investors generally prefer to purchase ADRs rather than ordinary shares in the issuer’s home market because ADRs trade, clear and settle according to U.S. market conventions. One of ADRs’ top advantages is the facilitated diversification into foreign securities. ADRs also allow easy comparison to securities of similar companies as well as access to price and trading information, if listed. ADR holders also appreciate prompt dividend payments and receiving corporate action notifications.
How can I buy BASF ADRs?
You can buy BASF ADRs through a broker, just as you would buy U.S. securities.
Can I purchase ADRs directly from BASF?

Why have you decided to apply for a voluntary delisting?
The delisting from the NYSE is driven by the opportunity to reduce complexity and administrative costs connected with our listing. Since BASF’s listing in June 2000, the regulatory framework for companies listed on the NYSE has changed considerably. This has led to more bureaucracy and higher compliance costs for companies. Parallel to this reporting and corporate governance standards in Europe and the U.S. have converged substantially in recent years. Regulations in the European capital markets have been tightened and IFRS have become mandatory. It is therefore possible to maintain a high level of corporate governance and transparency with significantly reduced administrative cost.
What is the difference between Delisting and Deregistration?
- Delisting: Removal of a company’s shares from an exchange (e.g. NYSE) and termination of stock exchange trading in these shares
- Deregistration: Termination of the SEC registration of a company’s shares resulting in the termination of all reporting obligations under the Securities Exchange Act of 1934
What is a sponsored Level 1 ADR program?
- Level 1 ADRs can only be traded on the OTC market.
- Minimal reporting requirements: Publication of English quarterly and annual reports (according to IFRS) on BASF website is sufficient.
- A majority of American depositary receipt programs currently trading are issued through a Level 1 program.
What is the Over-the-Counter Market?
Level I Depositary Receipts are traded in the U.S. OTC market with prices published in the “Pink Sheets” and on some exchanges outside the United States. Establishment of a Sponsored Level I program does not require full SEC registration and the company does not have to report its accounts under U.S. GAAP or provide full SEC disclosure. Essentially, a Sponsored Level I Depositary Receipt program allows companies to enjoy the benefits of a publicly traded security without changing its current reporting process.
What is OTCQX?
The OTCQX marketplace is the premier tier of the U.S. over-the-counter market. Investor-focused companies use the quality-controlled OTCQX marketplace to offer investors transparent trading, superior information and easy access through their regulated U.S. broker-dealers.
Since December 10, 2007 BASF ADRs trade on OTCQX and investors can find real-time quotes, disclosure and financial information about BASF.
Will there be a change in BASF’s IR activities as a result of the delisting?
No. There is a clear commitment that BASF will maintain the same level of IR activities. BASF will maintain a dedicated investor relations officer in the United States and continue to go on roadshow with senior management on a regular basis.
What is the difference between a registered holder and a beneficial ADR holder?
A registered holder is one whose name appears on the books of the depositary. The registered holder is considered the owner of the record. A beneficial holder is one whose holdings are held by a bank or broker within the central securities depository. All beneficial holder’s holdings will appear as an aggregate position under the nominee name of the central securities depository on the books of the depositary.
What should I do if I lose an ADR certificate?
If your certificate is lost, stolen, or destroyed, notify BNY investor hotline +1-888-BNY-ADRs / +1-888-269-2377. Please have your account number, exact address, and exact name(s) on the account ready when you call.
How do I change my address?
It is important that you call BNY when you move so that your account records can be updated and your dividend check is sent to the right address.
In what currency do Canadian residents receive dividends?
Resident Canadian ADR shareholders will receive their dividends in U.S. dollars.
Who will vote the ADR’s at the Shareholders’ Meeting?
BASF is required by law to hold a general meeting of its shareholders each year (the Annual General Meeting - “AGM”, or Annual Shareholders’ Meeting). As an ordinary shareholder you are entitled to attend, speak and vote at general meetings of the company. Shareholders who wish to attend and / or vote at the Annual Shareholders’ Meeting need to order an entrance ticket first. This can be obtained from the bank that maintains your deposit. Holders of ADRs are entitled to instruct the Depositary Bank, BNY as a proxy to exercise the voting rights with respect to the number of ordinary shares represented by the respective ADRs.
How are dividends paid and taxed?
Dividends are paid in U.S. dollars and are generally taxable, just like dividends on U.S. shares. For further information see chapter Taxation.
How can I replace a lost dividend check?
You can request the replacement of a lost dividend check by calling BNY. Upon authorization from you, a stop payment order will be placed against the original check and a replacement check will be issued to you. Please have your account number, exact address, and exact name(s) on the account ready when you call.
How can I find out BASF ADR dividend information?

Can I have my dividends directly deposited into my bank account?
All or a portion of your cash dividend can be wired directly to your bank account. In order to take advantage of this option your bank or financial institution must be part of Automatic Clearing House (ACH). If you are interested in this option please call BNY.
Can I have my dividends reinvested?
No. There is no dividend reinvestment plan for Level I Depository Receipts that are traded in the U.S. OTC market.
What financial information is available to U.S. investors?
BASF promptly publishes on its corporate website all information in the English language that has been made publicly available to its other investors in the German language (to the extent that such information is material to BASF and its shares).
What is the German Withholding Tax (“WHT”)?
Germany applies a withholding tax on dividends paid to investors of German securities at a current rate of 25% with an additional “solidarity surcharge” of 5.5% of the 25% withheld.
The net effective tax rate on the dividend is therefore 26.375%. Tax rate is subject to change. BNY as Depositary Bank (“the Depositary Bank”) will provide withholding tax rate in their dividend notices to the market.
Do I qualify for a lower WHT rate?
The German Tax Authority has resumed accepting DR tax reclaims. The only process currently available via GlobeTax is a Voucher process.
I’m a U.S. resident. What documentation do I need to apply for a reduction of German WHT?
U.S. investors need to provide a Certification of Residency (IRS Form 6166) from the IRS as proof of their tax residency to apply for a reduction of tax withheld.
As of January 2013 this form costs $85 and can be obtained by completing an IRS Form 8802 and submitting it along with a check for the $85 fee to the IRS at the address below:

One must weigh the cost of obtaining this form along with the processing fees associated submitting tax relief claims through the Depositary Bank and its agents against the anticipated amount of recovery from German source income to determine if it is cost-effective to file reclaims in the German market.

IRS Form 6166s are only valid for dividends that were paid in the same calendar year as the “Tax Year” shown on the IRS Form 6166 so these forms must be renewed annually.
If you are a U.S. Pension, U.S. Charity, or a fiscally-transparent entity, you may be required to provide additional documents.
I’m a resident of a treaty country other than the U.S., what documentation do I need to apply for a reduction of German WHT?
If your bank or broker files the claim within the first 6 months after the payment of the dividend directly with the BZSt , you will need to provide your bank or broker with a Letter of Authorization granting them the ability to file reclaims on your behalf with the BZSt. In some cases, upon audit from the BZSt, you may also be required to provide a Certification of Residence.
If your bank or broker files the claim after the 6-month period following the dividend payment, you will be required to file a German Tax Reclaim Form certified by your local tax office as well as other documents to prove your entitlement.
Whom do I contact to reclaim WHT through the Depositary Bank and its agents?
If you hold DRs through a bank, broker, or custodian, you should contact them to submit your claim. Banks and Brokers will receive information by way of an Important Notice posted in DTCC by the Depositary Bank.

Once my U.S. bank or broker has applied for a refund, how long does it generally take to receive payment?
As of 2018, the BZst, has not paid any refunds.
In what currency will I receive my refund?
If you apply directly to the BZSt, you will be paid in Euro Currency (“EUR”). If your U.S. bank or broker apply for the refund, your bank or broker will receive payment in Euro Currency and may convert and pay in U.S. Dollars.
Are there any costs associated with filing for a refund via the Voucher process and if so what are they?
The BZSt does not currently charge investors who file claims directly; however, the investors may be required to submit a proof of payment issued by the final German Institution in the payment chain between the Issuer and the investor to validate the claim.
As of, February 2025, the request for a Tax Voucher costs $0.015 per DR. These fees need to be paid upfront to Globetax Services prior to your Bank and Broker filing the reclaim to the BZSt.
